Terms of Service

1. Acceptance of Terms
By accessing or using the Terminus platform and services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Services.
2. Description of Services
Terminus provides an AI governance platform that enables organizations to discover, monitor, enforce policies on, and audit autonomous AI agents and systems. The Services are offered as a managed cloud (SaaS) product or as a self-hosted deployment within your infrastructure.
3. Account Registration
You must provide accurate and complete registration information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@terminus.ai if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
- Use the Services to violate any applicable law or regulation
- Attempt to gain unauthorized access to any system, network, or data
- Reverse-engineer, decompile, or disassemble any part of the Services
- Resell or sublicense the Services without our written consent
- Use the Services to harm, harass, or discriminate against any individual or group
- Introduce malicious code, viruses, or other harmful components
- Use automated means to scrape, crawl, or extract data from the Services
5. Subscription and Payment
Access to paid features requires a valid subscription. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in your order. We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
6. Intellectual Property
Terminus retains all rights, title, and interest in and to the Services, including all underlying software, algorithms, and documentation. These Terms do not grant you any intellectual property rights beyond the limited license to use the Services as described herein. Your data remains your property.
7. Confidentiality
Each party agrees to protect the other's confidential information using at least the same degree of care it uses for its own confidential information (but no less than reasonable care), and not to disclose such information to third parties without prior written consent, except as required by law.
8. Data Processing
To the extent we process personal data on your behalf, we act as a data processor and you act as the data controller. Our Data Processing Agreement (DPA), available upon request, governs such processing and is incorporated into these Terms by reference.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERMINUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Termination
Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases; you may export your data within 30 days of termination.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in accordance with the AAA Commercial Arbitration Rules, except either party may seek injunctive relief in any court of competent jurisdiction.
13. Changes to Terms
We may update these Terms from time to time. We will provide at least 14 days' notice for material changes via email or in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.
